Does Wynter Express decide which entity I should form?
No. We provide general educational information and administrative
formation support, but we do not make legal or individualized tax
decisions for clients. When necessary, clients should consult a
qualified attorney or tax adviser before selecting a structure.
What information will I need to provide?
Requested information may include the proposed business name,
formation state, business purpose, ownership details, management
information, contact information and registered-agent information.
The exact request depends on the selected entity and service.
Are state filing fees included in the service price?
State filing fees, expedited-processing costs, publication expenses,
registered-agent charges and other third-party costs may be separate
from the Wynter Express service fee. All known charges should be
reviewed before the authorized filing is submitted.
Does forming a business automatically create an EIN?
No. State entity formation and obtaining an Employer Identification
Number are separate administrative processes. EIN assistance may be
included or available depending on the selected formation package.
Is an LLC automatically taxed as an S corporation?
No. An LLC’s state-law formation and its federal tax treatment are
separate matters. Certain tax elections require separate eligibility
analysis and filings. Wynter Express will not represent that an
election has been made unless the applicable process is specifically
included and completed.
Can you help form a nonprofit organization?
Nonprofit formation support may be available. Forming a nonprofit
corporation at the state level does not automatically grant federal
tax-exempt status. Tax-exemption applications and related support
must be discussed separately.
How long does business formation take?
Processing time varies by state, entity type, filing method,
government processing volume and whether expedited service is
available. Wynter Express cannot guarantee a government approval or
completion date.
Does formation include ongoing compliance?
Not automatically. Formation creates the entity, but businesses may
have ongoing state, federal, tax, licensing, reporting and
recordkeeping responsibilities. Only services specifically identified
in the client’s agreement are included.
